1. Scope and Acceptance
These Terms of Service ("Terms") govern the relationship between Piece of Glass LLC ("POG," "we," "us") and any business entity ("Customer," "you") that engages POG for the purchase of glass fabrication, tempering, processing, or related services. By submitting an order, executing a purchase agreement, or being onboarded as a trade account, you agree to these Terms.
These Terms apply to B2B trade customers only. POG does not transact directly with individual consumers.
2. Quotes and Orders
All quotes are valid for 30 days from the date of issuance unless otherwise stated in writing. Quotes are non-binding until accepted by both parties or confirmed by POG in writing. Custom or non-stock orders may require a deposit. Deposit terms will be specified at quote stage. POG reserves the right to decline any order at its discretion.
3. Payment Terms
Standard payment terms are Cash on Delivery (COD). Payment is due prior to release of goods. Credit card payments are subject to a 3% convenience fee processed through Sola. Returned checks incur a $40 fee. No goods will be released without payment in full unless a credit arrangement has been expressly agreed in writing by an authorized POG representative.
Invoices not paid within 10 days of invoice date are subject to a finance charge of 1.5% per month on the outstanding balance, compounding monthly until paid in full, or the maximum rate permitted by New Jersey law, whichever is lower. POG reserves the right to suspend service to accounts with past-due balances.
4. Billing
A 5 SF minimum per piece applies, with a $30 minimum charge per piece, whichever is greater. Billable SF and lineal inches are calculated to the next even inch per edge. Shapes are billed on block size.
5. Delivery
Delivery is available within a 35-mile radius at rates shown. Outside this radius, delivery is quoted individually. Orders below $1,000 are subject to a $175 delivery fee. POG uses its own vehicles and reserves the right to use third-party carriers. Risk of loss in transit is borne by POG until point of delivery. Address changes require 2 business days notice minimum.
6. Storage and Pickup
Pickup is by appointment only during business hours. Storage fees of $25 per week per order apply beginning 15 business days after the agreed date. Customers will be notified before fees are applied. Orders unclaimed after 60 days may be disposed of at POG's discretion.
7. Custom and Fabricated Orders
Custom-cut, tempered, or fabricated glass is produced to order and is non-returnable and non-refundable unless the product contains a verified manufacturing defect. Customers are responsible for providing accurate dimensions and specifications. POG is not liable for fabrication errors resulting from incorrect specifications submitted by the Customer. Tolerance standards follow applicable industry guidelines (ASTM, GANA) unless otherwise agreed in writing.
8. Inspection and Claims
Customers must inspect all goods at the time of handoff. Visible damage or shortages must be noted on the delivery slip at time of receipt. Claims for concealed or fabrication defects must be submitted in writing within 5 business days of delivery. Claims submitted outside this window may be declined at POG's discretion. POG's liability is limited to replacement or remake; if not feasible, capped at the invoice value of the affected items. No liability for consequential, incidental, or indirect damages including labor, installation, or project delays.
9. SGCC Certification
POG operates as a certified fabricator under the Safety Glazing Certification Council (SGCC), Plant POG01NJ. Products supplied as tempered safety glazing comply with applicable ANSI Z97.1 and CPSC 16 CFR 1201 standards where specified. It is the Customer's responsibility to confirm product suitability for the intended application and to comply with applicable building codes.
10. Limitation of Liability
To the fullest extent permitted by law: POG's total liability to any Customer for any claim arising from a transaction shall not exceed the invoice value of the goods or services giving rise to the claim. POG is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, delays in construction, or downstream project costs. POG is not liable for delays or failures caused by circumstances outside its reasonable control, including supply chain disruptions, carrier delays, labor shortages, or force majeure events.
11. Intellectual Property
All drawings, designs, technical documents, and specifications produced by POG remain the property of POG unless otherwise agreed in writing. Customers may not reproduce or share POG documentation without prior written consent.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in New Jersey. The parties waive any objection to venue in such courts.
13. Modifications
POG reserves the right to update these Terms at any time. Updated Terms will be posted on the POG website. Continued engagement with POG following any update constitutes acceptance of the revised Terms.
